This website is operated by Ellis & Porter. Throughout the site, the terms “we”, “us” and “our” refer to Ellis & Porter. Ellis & Porter offers this website, including all information, tools and services available from this site to you, the user, conditional upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following Terms and Conditions, including any additional terms and policies referenced herein and/or available via hyperlink. These Terms and Conditions apply to all users of the site, including without limitation browsers, vendors, customers, merchants and content contributors.

Please read these Terms and Conditions carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by them. If you do not agree with all the terms and conditions of this agreement, you may not access the website or use any services. If these Terms and Conditions are considered an offer, acceptance is expressly limited to these terms.

Any new features or tools added to the current store will also be subject to these Terms and Conditions. You can review the most current version at any time on this page. We reserve the right to update, change or replace any part of these terms by posting updates or changes on our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our store is hosted on Shopify Inc., which provides us with the e-commerce platform to sell our products and services to you.

Article 1 – Definitions
In these Terms and Conditions, the following definitions apply.
The cooling-off period refers to the period during which the consumer may exercise the right of withdrawal. The consumer is a natural person not acting for purposes related to trade, business or profession who enters into a distance contract with the trader. A day refers to a calendar day. A continuous transaction is a distance contract regarding a series of products or services, with delivery and/or purchase obligations spread over time. A durable medium is any tool that allows the consumer or trader to store information personally addressed to them in a way that permits future consultation and unchanged reproduction of the stored information.
The right of withdrawal is the option for the consumer to withdraw from the distance contract during the cooling-off period. The trader is the natural or legal person who offers products or services remotely to consumers. A distance contract is a contract concluded within the framework of a system organised by the trader for selling products or services remotely, where only remote communication techniques are used. A remote communication technique is a tool that enables contract formation without consumer and trader being physically present in the same place. Terms and Conditions refer to these general terms of the trader.

Article 3 – Applicability
These Terms and Conditions apply to every offer from the trader and to every distance contract and order between the trader and consumer. Before a distance contract is concluded, the consumer will be provided with these Terms and Conditions. If this is not reasonably possible, the consumer will be informed where they can be reviewed and that they will be sent free of charge upon request.
If the contract is concluded electronically, these Terms and Conditions may be provided in such a way that the consumer can easily store them. If this is not possible, the consumer will be informed where they can access the Terms online and that they will be sent free of charge on request.
If specific product or service conditions also apply, the consumer may rely on the most favourable provision in the event of conflicting terms.
If one or more provisions are declared null or void, the rest of the agreement remains in effect and the invalid provision will be replaced by a provision as close as possible to the original intent.
Situations not covered by these Terms will be interpreted according to the spirit of these Terms. Any ambiguities must be interpreted in the same spirit.

Article 4 – The Offer
If an offer has a limited validity period or is subject to conditions, this will be stated. Offers are non-binding unless explicitly stated otherwise. The trader reserves the right to amend or withdraw offers.
Offers contain a full and accurate description of the products or services offered. Images used reflect the products truthfully, although colour differences may occur. Apparent errors do not bind the trader.
Each offer clearly states the rights and obligations involved, including the total price (including customs/import VAT), shipping costs, the manner in which contracts are concluded, withdrawal rights, payment/delivery procedures, validity period of the offer, communication costs (if applicable), archiving of contracts, options to check and correct information, languages offered, codes of conduct and minimum duration of contracts if applicable.

Article 5 – The Contract
The contract is formed when the consumer accepts the offer and meets any conditions. If accepted electronically, the trader confirms receipt immediately. Until this confirmation, the consumer may cancel.
The trader ensures a secure digital environment and applies appropriate payment security measures.
The trader may verify whether the consumer can meet payment obligations and assess other relevant factors before concluding the contract. If justified, the trader may refuse the contract or impose special terms.
Upon delivery, the trader provides the consumer with contact information for complaints, instructions regarding withdrawal rights, warranty and aftersales information, contract terms, and cancellation conditions for contracts over one year.
For continuous transactions, this information is only required once. Contracts are subject to product availability.

Article 6 – Right of Withdrawal
The consumer may cancel the contract within 30 days without giving a reason. This period starts the day after receipt of the product.
During this time, the consumer must handle the product and packaging with care, using the product only as needed to assess whether to keep it.
If the right of withdrawal is exercised, the product must be returned with all accessories, in its original condition and packaging, following the trader’s instructions.
The consumer must notify the trader of the withdrawal in writing within 30 days, then return the product within 30 days. Proof of return must be provided. If these steps are not followed, the contract remains binding.

Article 7 – Costs in Case of Withdrawal
If the consumer uses the right of withdrawal, return costs are their responsibility. Any amount already paid will be refunded by the trader within 30 days, provided the returned goods are received or proof of return is submitted.

Article 8 – Exclusion of Withdrawal
The right of withdrawal can be excluded by the trader for products or services described here, but only if clearly stated in the offer before the contract is made.
Exclusions apply to custom-made items, personal goods, perishable goods, sealed items (e.g. hygiene or audio/video products), and services relating to accommodation, transport or leisure activities to be performed on a specific date. Services started before the cooling-off period expired with consumer consent, and gambling services, may also be excluded.

Article 9 – Price
Prices remain fixed during the validity of an offer. Products tied to financial market fluctuations may have variable pricing.
Price increases within three months of contract formation are only allowed if legally required. Later increases are allowed if agreed and the consumer has the right to cancel the contract on the effective date. The trader is not liable for typographical or pricing errors and is not required to deliver at incorrect prices.

Article 10 – Conformity and Warranty
The trader guarantees that products and services comply with the contract, stated specifications, usability and legal requirements.
A manufacturer's warranty does not affect consumer rights.
Defects or incorrect deliveries must be reported within 30 days. Products must be returned in original packaging and unused.
Warranty is void if the product is altered, misused or exposed to abnormal conditions. The trader is not responsible for suitability for individual uses or for advice given regarding use.

Article 11 – Delivery and Execution
The trader exercises due care when receiving and fulfilling product orders. Orders are delivered within 30 days unless otherwise agreed.
If delivery is delayed or impossible, the consumer will be informed within 30 days and may cancel the contract with a refund.
The trader may deliver a substitute item, provided this is clearly stated. The withdrawal right still applies.
The trader bears the risk for damage or loss until the product is delivered to the consumer or their representative.

Article 12 – Continuous Transactions: Duration, Termination and Renewal
The consumer may cancel indefinite contracts with a notice period of one month.
Fixed-term contracts may be cancelled at the end of their term with the same notice.
Contracts may not be tacitly renewed except for short-term newspaper/magazine subscriptions.
Trial subscriptions end automatically.
Contracts longer than one year may be cancelled after one year with one month’s notice.

Article 13 – Payment
Unless otherwise agreed, payments must be made within seven working days after the cooling-off period. For services, the term begins upon confirmation.
The consumer must report incorrect payment data promptly.
In case of non-payment, the trader may charge reasonable costs made known in advance, in accordance with legal limits.

Article 14 – Complaints Procedure
Complaints must be submitted within seven days of identifying the issue, with a full and clear description.
The trader responds within 30 days. If more time is needed, the trader confirms receipt and provides a timeframe.
Complaints do not suspend the trader’s obligations. If a complaint is justified, the trader will replace or repair the product free of charge.

Article 15 – Disputes
Contracts between the trader and consumer are governed exclusively by Dutch law, even if the consumer resides abroad.
